Terms and Conditions
These Terms and Conditions ("Terms") govern the use of market management services provided by the Market Organizer ("Organizer") through Zinifly.com and any associated websites, applications, registration forms, event pages, or booking systems.
By registering for, booking, reserving, or participating in any event, market, festival, fair, trade show, or vendor opportunity managed by the Organizer, you agree to be bound by these Terms.
1. Vendor Participation
All vendors, exhibitors, food vendors, sponsors, and participants ("Vendors") must comply with all rules, regulations, policies, and requirements established by the Organizer.
The Organizer reserves the right to approve, deny, suspend, or revoke any vendor application, booth reservation, or participation at its sole discretion.
Submission of an application does not guarantee acceptance into any event.
2. Booth Reservations and Payments
Booth space reservations are not considered confirmed until full payment has been received unless otherwise authorized by the Organizer.
The Organizer reserves the right to establish booth fees, vendor fees, application fees, sponsorship fees, and any other applicable charges.
Failure to make payment by the required deadline may result in cancellation of the reservation and forfeiture of any assigned space.
3. Vendor Responsibilities
Vendors are solely responsible for:

Obtaining any required licenses, permits, certifications, or approvals.

Complying with all applicable federal, state, county, and local laws.

Maintaining proper insurance coverage when required.

Providing safe products and services.
-
Ensuring their booth, display, equipment, and operations do not create hazards or interfere with other participants.
Vendors are responsible for their employees, representatives, volunteers, and guests.
4. Event Changes and Cancellations
The Organizer reserves the right to:

Modify event dates, times, locations, layouts, or booth assignments.

Cancel or postpone events due to weather, venue issues, safety concerns, government restrictions, low attendance, emergencies, or circumstances beyond the Organizer's control.

Remove vendors who violate event policies or create disruptions.
The Organizer shall not be liable for losses, expenses, travel costs, lodging costs, lost profits, or other damages resulting from event modifications, cancellations, or postponements.
5. Code of Conduct
Vendors shall conduct themselves in a professional and respectful manner at all times.
The following may result in immediate removal without refund:

Harassment or discrimination

Disorderly conduct
-
Illegal activities
-
Unsafe behavior
-
Misrepresentation of products or services

Violation of Organizer policies
6. Intellectual Property
Vendors retain ownership of their trademarks, logos, and branding materials.
By participating in an event, Vendors grant the Organizer permission to use submitted business names, logos, photographs, videos, and promotional materials for marketing, advertising, and event promotion purposes without additional compensation.
7. Photography and Media Release
The Organizer may photograph, record, or film events for promotional purposes.
By participating in an event, Vendors grant permission for the use of images, video recordings, and other media depicting their booth, products, representatives, and displays in marketing materials, websites, social media, and advertising.
8. Limitation of Liability
To the fullest extent permitted by law, the Organizer, Zinifly.com, its owners, employees, contractors, affiliates, and representatives shall not be liable for:

Theft

Loss of property
-
Property damage
-
Personal injury
-
Business interruption
-
Lost profits
-
Vendor disputes
-
Customer disputes
-
Acts of God
-
Weather-related losses
-
Any indirect, incidental, consequential, or special damages
Participation in any event is at the Vendor's own risk.
9. Indemnification
Vendors agree to indemnify, defend, and hold harmless the Organizer, Zinifly.com, its owners, employees, affiliates, and representatives from any claims, damages, liabilities, costs, or expenses arising from:

Vendor products or services

Vendor negligence
-
Vendor conduct
-
Violation of laws or regulations
-
Breach of these Terms
10. Compliance with Laws
Vendors agree to comply with all applicable laws, regulations, permits, health department requirements, tax obligations, and licensing requirements.
The Organizer assumes no responsibility for ensuring Vendor compliance.
11. Refund Policy
Refunds and Cancellations
All booth fees, vendor fees, application fees, sponsorship fees, and event-related payments are non-refundable unless otherwise approved in writing by the Organizer.
Refund requests, if considered, are solely at the discretion of the Organizer.
No refunds will be provided for:

Vendor cancellations

Failure to attend an event
-
Weather conditions
-
Event schedule changes
-
Reduced attendance
-
Loss of sales
-
Removal due to policy violations
Any exceptions must be expressly authorized by the Organizer.
12. Delivery and Shipping Policy
Zinifly.com and the Organizer do not sell, ship, or deliver physical products.
All payments made through Zinifly.com relate solely to event registrations, booth reservations, sponsorship opportunities, vendor applications, or related event services.
Any products sold by participating vendors are the sole responsibility of the individual vendor and not Zinifly.com or the Organizer.
13. Privacy
Information collected through applications, registrations, bookings, and payments may be used to administer events, communicate with participants, process transactions, and improve services.
The Organizer may contact Vendors regarding event-related matters.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the state of Illinois, without regard to conflict of law principles.
Any dispute arising under these Terms shall be resolved in the appropriate courts located within the Organizer's jurisdiction.
15. Acceptance of Terms
By submitting an application, registering for an event, reserving booth space, making payment, or participating in any event, the Vendor acknowledges that they have read, understood, and agree to these Terms and Conditions.
